Acceptance, Scope, and Order of Precedence
Related Documents. Please review these Terms together with the Privacy Policy and, if enrolling in the flagship Membership, the Membership Agreement. Each document applies within its stated scope and under the order of precedence below.
These Terms of Service (“Terms”) constitute an agreement between The Publishing Agency LLC, operating as Speakrs.io (“Company,” “we,” or “us”), and the individual or entity accessing or purchasing the Services (“you”). These Terms apply to the Speakrs.io website and each current, former, or future product, membership, tool, or service that incorporates or refers to them (collectively, “Services”).
The Services may include, without limitation, related add-ons, upgrades, alternative packages, digital products, and supplemental services whose purchase terms incorporate these Terms. A new offer need not be named herein to be covered; its accepted description identifies what is purchased, while these Terms supply the applicable defaults. References to a service do not include it in every purchase. Illustrative lists introduced by “including,” “such as,” or similar expressions are non-exhaustive within their stated scope; they do not expand the scope of purchased Services or override express limitations.
By purchasing, enrolling in, accessing, or using the Services following presentation of these Terms, you accept them. You represent that you are at least eighteen (18) years of age and have authority to bind any entity on whose behalf you act. The Services are offered primarily for business and professional purposes.
A specific written exception approved by the Company’s executive team and agreed to by you shall control solely as to the provision expressly modified; email constitutes a writing. A separately executed agreement is subject to its own precedence provisions. For the flagship Membership, the accepted Membership Agreement governs the order of precedence. For other Services, the accepted offer or payment page takes precedence over these Terms, subject to an applicable executive-approved written exception. Offer-specific refund policies are given effect as provided in Section 2.
Nothing in these Terms excludes or limits any right, remedy, or protection that cannot lawfully be excluded or limited. The Privacy Policy describes the Company’s information practices. Permissions under these Terms remain subject to the applicable purposes, restrictions, and choices described in that Policy, including its written-permission requirements for marketing use of member materials.
Commercial Terms, Refunds, and Access
The applicable accepted offer or payment page may specify terms including, without limitation, the price, payment schedule, commitment, scope of Services, access period, renewal terms, and cancellation conditions. Terms expressly specified therein control in accordance with Section 1; matters not specified remain subject to the applicable defaults in these Terms and, for the flagship Membership, the Membership Agreement. An offer-specific policy applies only to the relevant offer unless expressly stated otherwise. Installment arrangements remain payable for the agreed commitment and do not, by themselves, constitute cancellable month-to-month subscriptions.
Unless otherwise stated in the accepted offer, a purchased service term begins on the purchase date. Fixed-term packages expire without automatic renewal unless recurring continuation was expressly disclosed and accepted. Recurring subscriptions follow their accepted renewal and cancellation terms; the Membership Agreement supplies the defaults for recurring flagship Memberships. A fixed-term package does not become recurring merely because payment is made in installments.
Default Refund Policy. An offer-specific refund policy stated for the purchase on its sales page, in its accepted offer or payment page, or in a controlling written agreement shall take precedence over this default policy. In the absence of such a policy, you may request a refund within three (3) days, meaning seventy-two (72) hours, after the initial purchase by emailing support@speakrs.io with the purchase details. Approval is at the Company’s executive team’s discretion; submission of a timely request does not guarantee a refund. This default applies to all current and future offers governed by these Terms, including, without limitation, add-ons, upgrades, alternative packages, digital products, and supplemental services.
Under this default policy, payments are nonrefundable following that request period. The period applies solely to the initial purchase of the relevant offer and does not apply to renewal payments, recurring charges, subsequent installments, or later billing periods. Refunds required by applicable law remain available.
Payments may be processed by third-party providers. You shall maintain accurate billing and contact information. Subject to applicable law, access may be suspended for failed payments, payment disputes, misuse, or breach. Nonwaivable cancellation, notice, and payment-dispute rights remain unaffected.
Where an offer expressly includes “lifetime” access, that term refers to the period during which the Company continues to offer and can reasonably provide the applicable product, rather than any individual’s natural lifetime.
Add-ons and Customer Cooperation. Each accepted offer defines the scope of the purchased Services and any applicable prerequisites. Supplemental benefits may include, without limitation, training, coaching, community access or resources, and complimentary profile assistance. Unless expressly included in the purchased Services or promised in controlling written commitments, such benefits are optional, may vary by offer, customer, and time, and may be offered, withheld, modified, suspended, or discontinued in the Company’s reasonable discretion. Introductions provided as core services under the Membership Agreement are not discretionary supplemental benefits. Prior availability does not guarantee future inclusion. Customer delays, nonparticipation, or nonuse do not automatically pause billing, extend a purchased term, or create a refund or credit. Pauses, deferrals, and extensions require written executive-team approval, subject to controlling purchase terms and applicable law.
Done-for-You Profile Preparation. When purchased, this add-on consists of preparing your Speakrs.io member profile from the materials you supply, regardless of the offer’s name (for example, “VIP Onboarding”). Unless the controlling purchase terms provide otherwise, required materials must be supplied within sixty (60) days after the add-on purchase or before the related membership ends, whichever occurs first. If offered without a related membership, the sixty (60) day deadline applies. Failure to supply required materials by the applicable deadline causes the unused onboarding entitlement to expire, without a refund under the default policy, subject to applicable law and controlling written commitments.
Where required materials were supplied on time, the Company will complete the initial profile preparation and timely requested included revisions even if completion occurs after the related membership ends, subject to the revision and response limits below. You shall provide necessary follow-up information, feedback, and approvals; customer-caused delays may reasonably extend completion timelines. Expiration does not revoke your rights in completed, fully paid deliverables under Section 5 or require continued membership billing solely to complete timely initiated onboarding. Other membership-dependent add-ons remain available only during the related active membership unless their accepted terms provide otherwise.
Revisions and Completion. Unless the controlling purchase terms provide otherwise, profile preparation includes a maximum of three (3) revision rounds, each consisting of one consolidated set of requested changes within the purchased scope. Final approval concludes the included revision services. Unused revision rounds expire when the related membership ends, except that you have thirty (30) days after delivery of the initial materials or a revised version to request any remaining included revisions if that period extends beyond membership end. Any request for included revisions must be submitted as one consolidated set of changes within thirty (30) days after delivery of the initial materials or a revised version. If no such request is received within that period, the work is considered complete and no further revisions are included. An acknowledgment or statement that feedback will follow does not extend the deadline. These limits apply prospectively under Section 10 and do not alter previously accepted purchases or controlling written commitments.
Communications and Consent
When you interact with the Company, including, without limitation, by booking a call, submitting a form or application, enrolling, purchasing, or otherwise contacting us, the Company may communicate with you for purposes described in the Privacy Policy, including responding to inquiries, administering accounts or purchases, delivering Services, and following up concerning related Speakrs.io offers. Communications may use channels including, without limitation, email, telephone, and text message, to the extent permitted by applicable law and consistent with your communication preferences.
Communications may be transmitted manually or using automated technology where lawful. The Company obtains separate consent where required. Marketing preferences and consent revocations will be honored as required by law. Necessary service, account, payment, and legal communications may continue through a lawful channel, subject to applicable consent requirements.
Where you request or agree to a meeting, the Company may complete the booking on your behalf and communicate concerning scheduling, confirmations, reminders, meeting-related follow-up, and related Services, to the extent permitted by applicable law and consistent with your communication preferences. You may opt out of marketing communications at any time.
Scope of Performance; No Assured Outcomes
The Company shall provide the Services described in the controlling purchase terms. Except for an express commitment or guarantee contained in those terms, the Company does not warrant any particular opportunity volume, booking, acceptance, income, client acquisition, revenue, exposure, or other result.
Event organizers and other third parties exercise independent judgment. Speakers and organizers establish engagement terms directly. The Company does not bind either party, guarantee organizer payment, or become a party to an engagement contract absent an express written agreement of all relevant parties. The Membership Agreement further defines the Company’s role for the flagship Membership.
You remain responsible for your business decisions and the accuracy, legality, and authorized use of materials you provide. Supplemental assistance, where offered, may include, without limitation, guidance, research, creative work, or output created or delivered using artificial intelligence or other automated technologies. Such output may contain errors and should be reviewed before you independently rely on or publish it. Where the Company prepares and submits applications under the Membership Agreement’s standing authorization, separate Member review of each pitch is not required; that authorization does not relieve the Company of its agreed service obligations.
Intellectual Property and Client Materials
You retain ownership of rights you hold in materials supplied to the Company (“Client Materials”). You represent that you possess the rights and permissions necessary to supply them and authorize the Company and its authorized personnel and service providers to process, reproduce, edit, and disclose them as reasonably necessary to perform the Services, submit authorized applications, and facilitate introductions, consistent with the Privacy Policy.
Upon receipt of full payment, the Company assigns to you the rights it owns and can transfer in final custom deliverables expressly identified in the accepted offer. The Company retains all rights in its pre-existing and reusable materials, including, without limitation, templates, methods, systems, prompts, tools, research, drafts, and know-how (“Company Materials”). To the extent Company Materials are incorporated into a final paid deliverable, you receive a nonexclusive license to use those elements as part of that deliverable. Third-party materials remain subject to their applicable licenses and restrictions.
The Company will obtain your prior written permission before publicly identifying you as a member or using your name, image, logo, testimonial, results, or supplied materials in the Company’s marketing. Permission to prepare or submit applications and make introductions is limited to service delivery and does not authorize such marketing use. No broader transfer or license is implied by the purchase of Services.
Permitted Use and Reserved Rights
Except as expressly authorized in writing or permitted by nonwaivable law, you shall not resell, share, copy, scrape, white-label, reverse engineer, or otherwise misuse restricted Services or materials. You shall not circumvent security controls, submit false information, impersonate another person, harass others, infringe third-party rights, or use the Services unlawfully.
The Company retains its rights in its names, marks, systems, and proprietary nonpublic information. No employment, representation, partnership, joint venture, or authority to bind the Company arises from purchasing or using the Services.
Nonpublic opportunity lists, organizer contact compilations, restricted training resources, and other members’ private information are provided solely for their authorized service purpose and may not be publicly distributed, resold, or disclosed without authority. This restriction does not cover information lawfully obtained independently or already public without breach, your own paid deliverables as permitted under Section 5, or disclosures required or protected by law.
Nothing in these Terms restricts truthful reviews, good-faith opinions, legally protected disclosures, or complaints to governmental authorities. You shall not knowingly communicate false statements of fact concerning the Company or its Services.
Third Parties, Service Changes, and Suspension
The Company may perform the Services through authorized personnel and service providers, which may include, without limitation, freelancers, independent contractors, and agencies. Their functions may include, without limitation, research, preparation of materials, service delivery, payment processing, hosting, communications, scheduling, community access, analytics, advertising, and use of artificial intelligence and automated technologies. Such technologies may assist personnel or perform functions on an automated basis, as described in the Privacy Policy. Personnel, providers, tools, and delivery methods may vary according to the applicable Services, subject to the Company’s obligations under the controlling purchase terms and the information practices described in the Privacy Policy. Independent third-party services may be subject to their own terms and privacy practices. To the extent permitted by law, the Company is not responsible for independent third-party decisions, outages, or changes.
The Company may reasonably modify delivery methods, subject to its express obligations under the controlling purchase terms. Such modifications do not supersede accepted refund terms or executive-approved written commitments. The Membership Agreement governs modifications to the flagship Membership during a committed term.
Subject to applicable law, the Company may suspend or terminate access for nonpayment, breach, misuse, fraud, security concerns, legal requirements, or risks to persons or the Services. The Company shall not be liable for delay or failure to perform to the extent caused by circumstances beyond its reasonable control.
Termination, including Company-initiated termination, does not independently create a contractual right to a prorated refund. Refunds and nonwaivable remedies remain governed by Section 2, controlling written commitments, and applicable law. Termination does not extinguish accrued rights, surviving rights in paid deliverables or timely initiated onboarding, or otherwise valid payment obligations. Provisions concerning ownership, restrictions on use, liability, indemnification, and dispute resolution survive to the extent necessary to give them effect.
Warranty Disclaimer, Liability, and Indemnification
Except for express obligations and guarantees in the controlling purchase terms, and to the fullest extent permitted by law, the Services are provided “as is” and “as available.” The Company disclaims implied warranties, including merchantability and fitness for a particular purpose. This disclaimer does not negate an accepted service commitment or offer-specific refund guarantee.
To the fullest extent permitted by law, the Company and its owners, affiliates, licensors, and authorized personnel and service providers, including, without limitation, employees, freelancers, independent contractors, and agencies, shall not be liable for indirect, special, incidental, consequential, exemplary, or punitive damages, including, without limitation, loss of profits, opportunities, data, or reputation.
Aggregate Liability Cap: To the fullest extent permitted by law, the combined aggregate liability of the Company and its owners, affiliates, licensors, and authorized personnel and service providers arising out of or relating to the relevant offer shall not exceed: (a) for one-time purchases and fixed-price packages, fifty percent (50%) of the fees actually paid by you to the Company for that offer; or (b) for recurring subscriptions, the fees actually paid by you to the Company for the relevant subscription during the three (3) months immediately preceding the event giving rise to the claim. A controlling agreement establishing a lower limit remains effective in accordance with Section 1.
A fixed-price package remains subject to the one-time purchase cap whether paid upfront or through a payment plan or installments. A recurring subscription involves successive renewing service periods; installment billing alone does not create a recurring subscription, and a minimum commitment alone does not convert a recurring subscription into a fixed-price package. Separately purchased add-ons are classified according to their own purchase terms. These revised caps apply prospectively under Section 10 and do not retroactively alter previously accepted purchases or accrued claims.
These limitations do not extinguish an express refund entitlement or exclude liability that cannot lawfully be excluded.
To the extent permitted by law, you shall indemnify and hold harmless the Company against third-party claims and reasonable associated costs to the extent caused by your unlawful conduct, infringement, unauthorized materials, or material breach of these Terms. Indemnification is limited to liability attributable to your conduct.
Disputes and Arbitration
PLEASE REVIEW THIS SECTION CAREFULLY. IT PROVIDES FOR BINDING INDIVIDUAL ARBITRATION OF MOST DISPUTES AND LIMITS PARTICIPATION IN CLASS PROCEEDINGS, SUBJECT TO THE EXCEPTIONS AND OPT-OUT BELOW.
Informal Resolution. Before commencing a claim, the complaining party shall deliver an email bearing the subject Legal Dispute Notice, reasonably describing the dispute and requested relief. Notices to the Company shall be sent to support@speakrs.io; notices to you shall be sent to your email address on record. The parties shall attempt in good faith to resolve the dispute during the ninety (90) days following receipt of notice, allowing a reasonable opportunity to review, investigate, and respond. The parties may agree in writing to conclude this process earlier. This requirement does not prevent either party from seeking urgent relief or making a filing necessary to preserve a claim before an applicable deadline, and does not restrict nonwaivable rights.
Arbitration. Except for eligible small-claims proceedings and urgent applications to protect intellectual property, confidential information, or security, disputes arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”). The AAA Commercial Arbitration Rules apply, except that the Consumer Arbitration Rules and Consumer Due Process Protocol apply where required by the AAA’s applicable standards or law. The Federal Arbitration Act governs this Section. The legal seat is Irvine, California; hearing format, location, and fees remain subject to the applicable rules and mandatory law.
Arbitration Fees. For arbitrations governed by the AAA Commercial Arbitration Rules, the parties shall share equally the AAA administrative fees and arbitrator compensation, subject to any different allocation required by applicable law or AAA requirements or awarded by the arbitrator. Where the AAA Consumer Arbitration Rules or Consumer Fee Schedule apply, fees and costs shall be allocated accordingly.
Individual Proceedings; Exceptions. To the extent permitted by law, claims shall proceed individually and not on a class, collective, consolidated, or representative basis. Nothing herein prohibits legally protected public relief or communications with governmental agencies. Claims not subject to arbitration, including following a valid opt-out, shall be brought in the state or federal courts serving Irvine, California, subject to mandatory law and the small-claims exception. Each party waives trial by jury only to the extent such a waiver is enforceable.
Thirty-Day Opt-Out. You may opt out of arbitration by emailing support@speakrs.io within thirty (30) days after first accepting these Terms. The email must bear the subject Arbitration Opt-Out and include your name, email address, acceptance date, and an unequivocal statement electing to opt out. A valid opt-out excludes the arbitration requirement; the remaining Terms continue to apply.
General Provisions, Amendments, and Notices
California law governs these Terms, subject to mandatory protections under applicable law; the Federal Arbitration Act governs arbitration. You may not assign your agreement without the Company’s consent. The Company may assign it in connection with a business reorganization or sale. An unenforceable provision shall be severed to the extent necessary, with the remaining provisions continuing in effect. A failure or delay to enforce a provision does not constitute a waiver.
The Company may amend these Terms prospectively by posting a revised effective date and providing notice or obtaining renewed acceptance where required. No amendment retroactively changes an existing purchase, accrued right, accepted written exception, or accepted dispute provision. Amendments affecting the flagship Membership are also subject to the Membership Agreement.
