This Membership Agreement (“Agreement”) is entered into by and between The Publishing Agency LLC, a company operating as Speakrs.io (“Company,” “we,” or “us”), and the individual or entity enrolling in the Membership (“Member”).
This Agreement governs the Company’s flagship done-for-you paid speaking opportunities membership and its included services (collectively, “Membership”).
This Agreement also governs add-ons and supplemental services purchased in connection with the Membership, to the extent relevant to their performance. The accepted offer or payment page identifies the purchased scope; an add-on is not included merely because this Agreement describes it. Standalone products, tools, courses, and other services are governed by the Terms of Service and their applicable purchase terms unless expressly made subject to this Agreement. Illustrative lists introduced by “including,” “such as,” or similar expressions are non-exhaustive within their stated scope; they do not expand purchased deliverables, make core services optional, or override express limitations.
By enrolling in, purchasing, or accessing the Membership following presentation of this Agreement, the Member accepts its terms. An individual accepting on behalf of an entity represents that the individual has authority to bind that entity.
The Membership is offered primarily for business and professional purposes. Nothing in this Agreement excludes, restricts, or waives any right, remedy, or protection that cannot lawfully be excluded, restricted, or waived.
Nature of Services; Independent Relationship
The Membership is private and subject to Company approval. During the active paid term, and subject to the Member’s cooperation, the Company sources, vets, and filters paid speaking opportunities, shares those it reasonably considers relevant to the Member, submits authorized applications on the Member’s behalf, and connects the Member with an event organizer who expresses interest in a conversation, as further described in Section 3 and the accepted offer. These are core services, not discretionary supplemental benefits. Following the connection, the Member and organizer take responsibility for further discussions and any engagement. Other benefits are optional as described in Section 3 unless expressly included in the controlling purchase terms.
The Company provides a speaking opportunity service under this Agreement, not a booking agency, speaker bureau, talent agency, talent management service, or guaranteed placement service. No employment, partnership, joint venture, general agency, or authority to bind either party is created by this Agreement.
The Company may perform the Membership services through authorized personnel and service providers, which may include, without limitation, freelancers, independent contractors, and agencies, and may use artificial intelligence and automated technologies to assist personnel or perform functions on an automated basis. Personnel, providers, tools, and delivery methods may vary, subject to the agreed service obligations, the Member’s application restrictions, Section 18, and the information practices described in the Privacy Policy.
The Company does not negotiate or execute engagement contracts, establish final engagement terms, receive organizer payments on the Member’s behalf, or otherwise bind the Member. Following an introduction, the Member and organizer are responsible for negotiations, contracts, scheduling, travel, performance, payment collection, cancellations, and any engagement dispute.
Core Services, Authorization, and Supplemental Benefits
Sourcing and Vetting. The Company sources paid speaking opportunities and vets them by screening for apparent legitimacy based on available information. “Paid” means compensation has been represented by an organizer, listing, or third-party source; it does not mean funds have been independently verified, reserved, or guaranteed. “Vetted” describes reasonable screening based on available information, not an exhaustive investigation or assurance that every representation is accurate.
Filtering, Sharing, and Availability. The Company filters opportunities using the Member’s profile, preferences, and other available information and shares those it reasonably considers relevant to that Member through the designated communication channel or platform. Relevance is assessed in the Company’s reasonable, good-faith judgment. Filtering seeks to be personalized but may include adjacent or potential fits to broaden the Member’s options. The Member’s disagreement with an assessment or decision to decline an opportunity does not, by itself, establish nonperformance. No minimum number, delivery frequency, exclusive access, or continued availability is promised unless expressly stated in the controlling purchase terms. These limitations do not eliminate the Company’s obligation to provide the agreed core services throughout the active term.
Applications on the Member’s Behalf. As part of the core Membership, the Company prepares and submits pitches and applications on the Member’s behalf for opportunities it reasonably considers relevant, as authorized by the Member’s acceptance of this Agreement and subject to applicable submission requirements. The Member authorizes these submissions using supplied materials and information, without separate approval of each pitch or submission, including where prompt submission may preserve an opportunity. This standing authorization is subject to the Member’s communicated restrictions and may be limited or withdrawn prospectively by written notice through the designated communication platform or support email. Instructions apply upon receipt and a reasonable opportunity to implement them; previously submitted materials may remain with recipients. The Company shall not knowingly submit contrary to an express restriction. No authorization extends to signing an engagement contract, accepting an engagement, or incurring obligations on the Member’s behalf.
Organizer Connections and Handoff. As part of the core Membership, the Company will connect the Member with an event organizer who communicates interest in speaking with the Member, subject to the Member’s instructions. Following that connection, the Member and organizer are responsible for further communications and for negotiating, contracting, scheduling, and carrying out any engagement, as described in Section 2. The Company does not guarantee organizer interest, that an organizer will proceed with a conversation, or that an introduction will result in an engagement. An organizer’s lack of interest, or the Member’s decision not to apply or proceed, does not independently establish a failure to perform or require a replacement opportunity, credit, or extension.
Optional Supplemental Benefits. The Company may, but is not obligated to, provide supplemental benefits, including, without limitation, live or recorded trainings, the creation or sharing of tools and resources, referrals to additional partners or vendors, coaching, community access, and complimentary profile assistance. Unless expressly included as purchased deliverables or controlling written commitments, these benefits are optional and may be offered, withheld, modified, suspended, or discontinued at the Company’s discretion, including a decision not to provide them at all. They may vary among Members and over time. Listing a benefit or previously providing it does not guarantee its inclusion or continuation, and no particular schedule or frequency is assured. Optional partner or vendor referrals are distinct from the organizer connections included in the core Membership. The Company’s discretion over supplemental benefits does not make core services optional or excuse an expressly purchased or promised deliverable. Done-for-you profile preparation is included only when purchased or expressly promised.
Purchased Add-ons. The accepted offer defines each add-on’s scope. Purchased add-ons are subject to the add-on provisions in Section 2 of the Terms of Service.
No Guarantee of Commercial Outcomes
Except for an express guarantee contained in the controlling purchase terms under Sections 6, 7, and 17, the Company does not warrant or guarantee speaking engagements, acceptance to any opportunity, income, revenue, clients, or other business outcomes.
Selection decisions rest exclusively with third-party organizers. Applications may be submitted under the standing authorization in Section 3, but the Member retains the decision whether to proceed with an introduction or accept an engagement and remains responsible for evaluating its suitability. Examples, prior outcomes, and testimonials do not establish a guarantee of comparable results.
Member Obligations
The Member shall complete the required professional profile, access and monitor the Company’s designated communication channel or platform, supply accurate and authorized materials, communicate application restrictions, and respond to reasonable requests. The Company may be unable to begin substantive sourcing or applications until sufficient profile information is received. The Member is responsible for the accuracy, legality, and completeness of supplied information and for updating material changes.
The Company shall not be responsible for missed deadlines or opportunities to the extent attributable to the Member’s inaction, delay, incomplete information, or failure to provide necessary authorization.
Member-caused onboarding delays, nonparticipation, rejected opportunities, and restrictions on applications do not automatically suspend billing, extend the purchased term, or create a refund, credit, or replacement entitlement. The Company remains responsible for services it can reasonably perform within the agreed scope and supplied information. Any express guarantee or approved exception remains subject to its own conditions and applicable law.
Fees, Term, Renewal, and Written Commitments
The pricing, billing schedule, initial term, and minimum commitment stated in the offer or payment page accepted by the Member are incorporated into this Agreement. The Member remains liable for payments due under those terms and during any applicable cancellation notice period.
Default Minimum Commitment. Unless the accepted enrollment or payment page expressly specifies a different minimum commitment or fixed package term, the initial minimum Membership commitment is three (3) months. An expressly stated different commitment or package term supersedes this default, and the Member commits to that stated duration. Monthly billing or a “month-to-month” designation alone describes the recurring billing arrangement and does not waive the initial three-month commitment; a different commitment or an express statement that no minimum commitment applies must be specified. The Member remains responsible for payments scheduled throughout the applicable commitment, subject to Section 7, controlling written commitments, and applicable law.
A specific written commitment approved by the Company’s executive team and agreed to by the Member shall supersede only the provision it expressly modifies. Email constitutes a writing for this purpose. Oral discussions, estimates, informal statements, and statements lacking executive-team approval do not amend this Agreement. Express purchase terms and refund policies remain subject to Sections 7 and 17.
Unless otherwise specified in the accepted offer, the paid term begins on the purchase date, irrespective of when the Member completes onboarding or first uses the Membership. A fixed-term package expires at the end of its purchased term without automatic renewal unless recurring continuation was expressly disclosed and accepted. Further service requires renewal or another purchase. A recurring Membership continues month-to-month after any accepted initial commitment unless its accepted terms provide otherwise; installment payments for a fixed-term package do not independently create a recurring Membership.
The accepted offer governs cancellation procedures. Unless the controlling purchase terms provide otherwise, notice to cancel a recurring Membership must be received through the designated communication platform or support@speakrs.io at least seven (7) calendar days before the next scheduled renewal date to prevent that renewal. Notice is measured from receipt, not when the Company reads or processes it. Cancellation takes effect at the first scheduled renewal date that is at least seven (7) calendar days after receipt and on or after the end of the applicable minimum commitment; no renewal charge is due on that effective date. If notice is received fewer than seven (7) calendar days before an upcoming renewal, that renewal remains payable in full, with access continuing through the resulting paid billing period. Notice may be submitted during the initial commitment but does not shorten it. Access continues through the end of the final paid billing period, and charges are not prorated solely because of cancellation. This provision is subject to Section 7, controlling written commitments, and applicable law; where applicable law requires immediate cancellation or a shorter notice period, the seven-day cutoff does not apply. No cancellation notice is required merely to allow a nonrenewing fixed-term package to expire. Mandatory cancellation methods prevail where applicable.
Pauses, deferrals, and extensions require written executive-team approval, including the applicable billing and access arrangements. Travel, nonuse, or a request to pause does not itself alter the term or payment obligations. An approved exception is limited to its stated scope.
The Membership is personal to the Member and may not be shared, transferred, assigned, or resold without the Company’s prior written consent.
Refund Policy
An offer-specific refund policy stated for the purchase on its sales page, in its accepted offer or payment page, or in a controlling written agreement shall take precedence over the default policy below. In the absence of such a policy, this Section applies to the flagship Membership and all related purchased add-ons and supplemental services. The Terms of Service establish the same default for other offers.
The purchaser may request a refund within three (3) days, meaning seventy-two (72) hours, after the initial purchase by emailing support@speakrs.io with the purchase details. Approval is at the Company’s executive team’s discretion; submission of a timely request does not guarantee a refund.
Following that request period, payments are nonrefundable. The period applies solely to the initial purchase of the relevant offer and does not apply to renewal payments, recurring charges, subsequent installments, or later billing periods. Any refund required by applicable law remains available.
Subject to the foregoing request period, any controlling offer-specific refund policy, and applicable law, partial use, nonparticipation, dissatisfaction with outcomes, and failure to secure a speaking engagement do not entitle the Member to a refund or credit.
Payment Disputes and Chargebacks
Where practicable, the Member shall notify the Company of a billing concern and afford a reasonable opportunity for resolution before initiating a chargeback or payment dispute. This requirement does not restrict nonwaivable payment-dispute rights or extend any applicable deadline for exercising them.
Subject to applicable law, the Company may suspend or terminate Membership access in connection with a chargeback or payment dispute and may submit this Agreement and relevant transaction and service records in response.
A payment dispute does not, by itself, discharge otherwise valid payment obligations, including amounts due under an accepted commitment or notice period. The Member shall not use fraudulent or bad-faith payment reversals to evade valid obligations. Nothing in this Section prohibits a good-faith dispute or limits Section 7.
Suspension, Termination, and Effect
The Company may suspend or terminate the Membership or access to its services for nonpayment, breach, misuse, fraud, security concerns, legal requirements, or risks to persons or the services. Immediate action may be taken where circumstances reasonably require it, subject to applicable law.
Upon expiration or termination, Membership and community access shall cease, subject to surviving rights in paid deliverables and timely initiated add-on work under the Terms of Service. Termination does not independently create a contractual right to a prorated refund, including where initiated by the Company. Refunds and nonwaivable remedies remain governed by Section 7, controlling written commitments, and applicable law. Termination does not discharge otherwise valid payment obligations.
Contractual Representations and Reliance
The Member acknowledges that the contractual commitments governing the Membership are those contained in this Agreement, the controlling purchase terms, and executive-approved written commitments accepted under Section 6. Oral statements, informal communications, projections, illustrative marketing examples, and third-party testimonials do not independently create guarantees or amend those commitments.
This Section remains subject to Section 7, authorized written commitments, and nonwaivable rights and remedies under applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, consequential, or special damages arising out of or relating to the Membership, including losses attributable to independent organizer decisions or the Member’s participation in an opportunity.
Aggregate Liability Cap. To the maximum extent permitted by applicable law, the combined aggregate liability of the Company and its owners, affiliates, licensors, and authorized personnel and service providers arising out of or relating to the relevant Membership or related purchased add-on shall not exceed: (a) for one-time purchases and fixed-price packages, fifty percent (50%) of the fees actually paid by the Member to the Company for that purchase; or (b) for recurring subscriptions, the fees actually paid by the Member to the Company for the relevant subscription during the three (3) months immediately preceding the event giving rise to the claim.
A fixed-price package remains subject to the one-time purchase cap whether paid upfront or through a payment plan or installments. A recurring subscription involves successive renewing service periods; installment billing alone does not create a recurring subscription, and a minimum commitment alone does not convert a recurring subscription into a fixed-price package. Separately purchased add-ons are classified according to their own purchase terms. These caps remain subject to the controlling terms under Section 17. These revised caps apply prospectively under Section 19 and do not retroactively alter previously accepted purchases or accrued claims.
These limitations do not exclude or restrict liability that cannot lawfully be limited and do not extinguish an express refund entitlement under the controlling purchase terms.
Protected Communications and False Statements
The Member retains the right to publish truthful reviews and good-faith opinions, make legally protected disclosures, communicate with regulators, and submit complaints to governmental authorities.
The Member shall not knowingly publish or communicate false statements of fact concerning the Company, its personnel, or its services.
Disclaimer of Warranties
Except for the Company’s express obligations and guarantees under the controlling purchase terms, and to the maximum extent permitted by law, the Membership and related services are provided “as is” and “as available.” The Company disclaims implied warranties, including merchantability and fitness for a particular purpose, and any implied assurance of results.
This disclaimer is subject to Sections 6, 7, and 17 and does not supersede an express service commitment, offer-specific guarantee, or nonwaivable statutory protection.
Force Majeure
The Company shall not be liable for delay, interruption, or failure to perform to the extent caused by circumstances beyond its reasonable control, including, without limitation, natural disasters, internet or platform outages, third-party service disruptions, labor disputes, or governmental action, subject to applicable law.
Dispute Resolution; Arbitration
The Disputes and Arbitration provisions of the Terms of Service accepted in connection with the Membership are incorporated by reference. They provide for informal dispute resolution and binding individual arbitration of most disputes, a class-action waiver to the extent lawful, specified exceptions, and a thirty (30) day arbitration opt-out.
The incorporated provisions affect the parties’ rights to litigate disputes in court and participate in class proceedings. The Member should review them before acceptance. Subsequent amendments are subject to Section 19 and may not retroactively alter an accepted dispute provision.
Governing Law
This Agreement shall be governed by the laws of the State of California, subject to mandatory protections under applicable law. The Federal Arbitration Act governs the incorporated arbitration provisions.
Entire Agreement; Order of Precedence
This Agreement, the applicable accepted offer or payment page, the incorporated Terms of Service, applicable offer-specific refund policies, and executive-approved written commitments agreed to by the Member constitute the entire agreement concerning the Membership and supersede prior discussions concerning the same subject.
In the event of a conflict, an executive-approved written commitment controls solely as to the provision expressly modified, followed by the applicable accepted offer or payment page, this Agreement, and the general Terms of Service, in that order. A separately executed agreement remains subject to its own precedence provisions. An applicable offer-specific refund policy takes precedence over the default refund policy as provided in Section 7.
Permissions under this Agreement remain subject to the applicable purposes, restrictions, and choices described in the Privacy Policy, including its written-permission requirements for marketing use of member materials. No provision herein shall be construed to diminish nonwaivable privacy rights or obligations.
Modification of Services
The Company may reasonably modify the structure, delivery, or components of the Membership, provided that such modifications do not materially diminish the core Membership purchased during the Member’s then-current committed term.
Service modifications do not amend accepted pricing, billing, minimum commitments, cancellation or refund terms, or executive-approved written commitments without the Member’s express written agreement, except as permitted or required by applicable law.
Nonmaterial modifications do not independently confer a right to a refund or cancellation outside the controlling purchase terms, without prejudice to rights that cannot lawfully be limited.
Prospective Amendments
The Company may amend this Agreement prospectively by posting a revised effective date and providing notice of material amendments or obtaining renewed acceptance where required by applicable law.
No amendment shall retroactively modify an accepted offer or payment page, an existing minimum commitment, an accrued right, an accepted dispute provision, or an executive-approved written commitment. During a committed term, a material amendment requires the Member’s express agreement unless applicable law permits or requires otherwise.
Following any initial committed term, material amendments may apply to future month-to-month billing periods upon reasonable advance notice, subject to applicable law and any required renewed acceptance.
Acknowledgment and Acceptance
By enrolling following presentation of this Agreement, the Member acknowledges having had the opportunity to review this Agreement and its incorporated terms and agrees to be bound by them.
